 CHARLOTTE, N.C., May 10, 2011 /PRNewswire/ -- Organic Plant Health, LLC, (OPHI), (PINKSHEETS:OPHI) an exclusive manufacturer and distributor of organic-based fertilizers and soil conditioners, announced today that the 2 year financial audit that was recently conducted has been completed. The final audit report is being put together by SEC auditing firm Silberstein Ungar, PLLC and should be delivered to company management by the end of May.

 Upon receipt of the audit report the company plans to file a registration statement with the Securities and Exchange Commission on Form S-1. A securities attorney has been retained and the registration should be filed by early June, at which time Organic Plant Health expects to be deemed fully reporting by the SEC and up-listed to a fully reporting exchange. "The completion of the audit marks an important milestone for our company," stated Organic Plant Health CEO, Billy Styles. "Achieving this level of transparency and filing the SEC registration statement will put our shareholders in a position to realize considerable value as our company continues to expand and grow. Transitioning onto a fully reporting exchange has been a primary focus of ours since we became a public entity a few short months ago and now we are on the verge of completing that key objective."

 The company also announced that in an effort to improve its share structure, the Board of Directors and majority shareholders authorized the effectuation of a 1-for-4 reverse split of Organic Plant Health's preferred stock. As a result, the number of authorized shares of preferred stock decreased from 20,000,000 to 5,000,000 shares, of which 3,999,999 are issued and outstanding. The preferred stock reverse split became effective upon the company filing a Certificate of Change with the Secretary of State of the State of Nevada on April 21, 2011. Upon completion of the reverse split the company converted those 3,999,999 Million preferred shares held by directors and members of the original ownership group into 39,999,990 restricted common shares in accordance with the articles of organization, and subsequently retired the preferred shares. "This improvement to our preferred shares structure reaffirms our commitment to our shareholders and should help attract larger investors and institutions," said Billy Styles.

 Also included in the registration are recently made issuances of common stock to a consultant/advisor very close to the company, and an investor relations firm hired to promote awareness of the company among the investment community and to handle day to day investor communications. All of the shares issued are restricted shares according to SEC rule 144. This restricted share issuance will assist in securing the funding necessary to drive expansion throughout seven targeted southeastern states and position Organic Plant Health for significant growth through the year 2013. Additional SEC rule 144 shares were issued to reduce nearly $300,000 in debt owed by the company, further improving the company's financial position and attractiveness to investors.

 Mr. Styles also commented on the registration statement when he stated, "Months ago I promised our shareholders that we would never be involved in reckless dilution of company stock. Today as we announce this new issuance, I am pleased to inform you that this registration has been structured as promised, using only restricted shares. OPHI has been building a higher base here after the completed reverse merger.
Even though the volume still is low, it's encouraging to watch the CMF on the daily chart.

CHARLOTTE, N.C., May 26, 2011 /PRNewswire/ -- Organic Plant Health, Inc., (OPHI), (OTC MARKETS: OPHI), an exclusive manufacturer and distributor of organic-based fertilizers and soil conditioners, announced today that they have received the final audit report which was completed  by SEC auditing firm Silberstein Ungar, PLLC. The extensive audit of the last two years of Organic Plant Health's financials showed revenue for 2009 of $1,062,163.00, and 2010 of $1,026,995.00. In spite of 2010 revenues being slightly lower than the previous year, the gross profits increased to 55% of total revenue, which represents a 10% increase over 2009. The company also decreased operational expenses in 2010 by $54,000 from the previous year's by the reduction of excess inventory as management successfully refined its raw goods purchasing process and was able to shed itself of surplus materials. Overall liabilities were also reduced by nearly $100,000 over the same period. The company also realized a 30% reduction in its reported losses, year over year, decreasing to $336,000 in 2010 from $482,000 in 2009. The complete audit details will be uploaded to Pink Sheets very soon. Additionally, first quarter results for fiscal year 2011 are almost complete and are expected to be released shortly.

The company also reported that it has begun taking the necessary steps towards improving its market tier status on Pink Sheets. The Interim Financial Disclosure Statement is currently being updated and the process of completing the Attorney Opinion Letter is underway. Upon completion of these steps the company expects to have its status listed as a fully reporting Pink Sheet company.

Organic Plant Health management reiterated their commitment to register only restricted stock under SEC rule 144 as part of the S-1 filing. More details will be forthcoming as the process nears completion.

The company also informed that a preliminary report released in December 2010 for the period ending October 31, 2010 erroneously overstated sales for the period. The minor error was due to an accounting procedure that has since been corrected. Mr. Styles said, "I regret any inconvenience that this miscalculation may have caused. The report in question was preliminary and the mistake was corrected before the final report was issued. Sales for the period ending March 31, 2011 totaled $268,911.48. Management has identified several key ratios that show significant improvement in first quarter 2011 over the same period a year ago, signaling continued progress associated with management's focus on increasing the efficiency of operations. Revenues from its wholesale business realized a 44% increase for the same period over the prior year. The company also experienced a significant decrease in debt with Current Liabilities down 41.4% to $428,821.36, Accounts Payable down 37% to $215,481.01 and Accounts Receivable up 33% to $103,893.38. Total liabilities for the Company decreased by 38.5% to $519,159.86.
